NO PURCHASE NECESSARY

1. NO PURCHASE NECESSARY. To enter visit the Nabisco Air Crisps Web site at http://www.aircrisps.com, complete the online entry and click on “submit” to enter. You will then be automatically entered into the Sweepstakes. Sweepstakes begins at 8:00 a.m. Eastern Standard Time on May 4, 1998 and all entries must be received by 5:00 p.m. Eastern Standard Time on August 17, 1998. You may also enter by writing your name, address, daytime phone number and date of birth on a 3"x 5" card and mail it to: Nabisco Air Crisps Crisp Night Air Sweepstakes (“NACCNAS”), P.O. Box 4100, Grand Rapids, MN 55730-4100. One entry per person per day. Internet entry is limited to one entry per person per electronic transmission per day. No mechanically reproduced entries allowed. Not responsible for late, lost, stolen, illegible, incomplete, mutilated, misdirected or postage due entries or mail, or technical, computer, telephone or telecommunications system failures, errors or data loss of any kind, lost or unavailable Internet connections, or failed, incomplete, garbled or deleted computer or network transmissions which may limit the ability to play or participate in the Sweepstakes. Employees, their immediate family members and others living in their household of Nabisco, Inc. (“Sponsor”), its subsidiaries, affiliates, printers, promotion and advertising agencies are not eligible to enter. Sweepstakes is open only to legal residents of the U.S., excluding Puerto Rico, age 18 or older as of 5/4/98. Void in Puerto Rico and wherever prohibited by law.

2. On or about August 31, 1998, a random drawing will be conducted among all eligible entries received to determine the winners. Drawing will be conducted by an independent judging organization, whose decisions on all matters relating to this Sweepstakes shall be final. Winners’ names will be posted on the Nabisco Air Crisps Web site at http://www.aircrisps.com and all winners will also be notified by mail. One prize per person or household. Odds of winning depend on number of eligible entries received, which is estimated to be 85,000.

3. (5) Grand Prizes: For winners living 125 miles or more outside of Santa Monica, CA, the Grand Prize will consist of a 3-day/2-night trip for winner and guest to Santa Monica, CA, including round-trip coach airfare from major gateway airport nearest winner’s residence, double occupancy hotel accommodations, and two tickets to the Air Crisps Crisp Night Air Concert on 10/3/98. For winners living within 125 miles of Santa Monica, CA, the Grand Prize will consist of a 3-day/2-night trip for winner and guest in Santa Monica, CA, double occupancy hotel accommodations, and two tickets to the Air Crisps Crisp Night Air Concert on 10/3/98. (Approx. retail value $1,100 - $2,100, dependent upon location of winner’s residence.) Meals, ground transportation, gratuities, and all other expenses not specified above are the sole responsibility of winner. Trip must be taken between 10/2/98 and 10/4/98. If winner cannot take trip on the specified dates, the prize will be forfeited and an alternate winner will be selected (time permitting). Travel accommodations, and tickets subject to availability, certain restrictions may apply. Total approximate retail value of prizes to be awarded: $10,500.00.

4. By participating, entrants agree to be bound by these Official Rules and the decisions of the judges, which shall be final. No cash substitution, transfer or assignment of prize allowed, except by Sponsor, in which case a prize of equal or greater value will be awarded. Winners and their guests will be required to execute an affidavit of eligibility and liability/publicity release, which must be returned within ten (10) days of notification attempt or an alternate winner may be selected. Winner’s guest must also execute a travel release prior to ticketing. If winner’s guest is under 18, the guest’s parent or legal guardian must complete and return the guest’s release. By accepting the prize, winner grants to Sponsor the right to use the winner’s name, voice, picture and/or likeness for purposes of advertising and publicity in any and all media now known or hereafter invented, without further permission or additional compensation (except where prohibited by law). All expenses on receipt and use of prize, and all Federal, state and local taxes, are the sole responsibility of winner. Sponsor not responsible for any virus, bugs, unauthorized human intervention or other causes beyond the control of sponsor that corrupt or affect the administration, security, fairness or proper play or conduct of the Sweepstakes. By accepting prize, winner releases Sponsor, its parent, subsidiaries, affiliates, suppliers, and agents from any and all liability for any loss, harm, damages, cost or expense, including without limitation property damages, personal injury and/or death, arising out of participation in this Sweepstakes or the acceptance, use or misuse of the prize. Sponsor may be offering similar promotions at the same time as this Sweepstakes, which are not the same as this sweepstakes. See Official Rules of each promotion for details.

5. The names of the Grand Prize winners will be posted on the http://www.aircrisps.com Web site. You may also obtain a winners list by sending a self-addressed stamped envelope, after September 30, 1998, to: NACCNAS, P.O. Box 6000, Dept. WWL, Manhasset, NY 11030-6000.
